Rights-Managed Licence agreement TERMS AND CONDITIONS This agreement is between:- The Wishlist Images digital picture library (WLI) Yourself (the client) All the photographs on the Wishlist Images photo library are available as rights-managed. Some images may be available for use as royalty free but this would be by separate negotiation. Please read this document carefully. Once you click the ‘agree’ button at the end of your registration form you are bound by its content. Where photographs on the Wishlist Images website are the copyright of external contributors, WLI has been granted the right to license the reproduction of the material to a third party. If you do not agree with the content of this agreement then do not use this site. Please contact the WLI office and tell us of your concerns. Where the client is acting on behalf of a third party, it is the responsibility of the client to ensure that such a third party abides by the terms of this agreement. The client will be responsible for compensating WLI for any breach of these terms and conditions by a third party. LOW RESOLUTION IMAGES CONDITIONS OF USE • 72dpi images can be downloaded from the WLI website and used in presentations and layouts. Low resolution images are supplied watermarked. The client can request a non-watermarked version, but this is on the strict understanding that the image shall not be used for reproduction other than as a comp image for presentations and layouts. • Low resolution images for use in presentations and layouts are free of charge. • Low resolution images or any part of the images may not be used for any end use reproduction. HIGH RESOLUTION IMAGES CONDITIONS OF USE • WLI grants to the client the right to reproduce the images identified in the invoice for the purposes identified in the invoice • The use of the images are strictly limited to the usage, print run, territory and any restrictions to the use of the pictures identified in the invoice. • All high resolution pictures reproduced must credit the photographer and WLI. The details of the credit line are available at the point of download. • The images, or the right to use them, may not be resold to any third party. • The copyright of the photographs shall at all times remains the property of the original copyright holder and does not pass to the client. • The client may not manipulate the photographs in any way. By adding, deleting or in any other way altering the image without the prior consent of WLI. • The client must not attribute any copy that is libellous, pornographic, or in any way embarrassing to any individuals shown in the photographs. • The images may not be used in a way that is obscene, pornographic or in any way illegal. • The client must not keep the images beyond the life of the project for which they were purchased. • No liability is accepted by WLI for any legal action arising from the misuse of any photographs on the Wishlist Images website. • WLI does not accept liability for the keywords, captions or any other information associated with the images. • The client is responsible for all releases required. WLI does not accept any liability for any legal action arising from the use of trade marks, logos or other copyrighted material depicted in any images on the WLI website. Payment • WLI will invoice for payment once the high resolution pictures have been supplied to the client. Cash payments are due 30 days after the date of the invoice. Online payments are made before download of the images. Once an invoice has been issued then a contract has been entered into and the supplier must abide by the terms of the contract. • The client is responsible for checking the information contained in the invoice and abiding by the usage, print run, territory and any restrictions to the use of the pictures identified in the invoice. Choice of law These Terms and Conditions shall be governed by the laws of England and Wales and the parties hereby agree to submit to the non-exclusive jurisdiction of the English Courts. Wishlist Images is a member of the British Association of Picture Libraries and Agencies and subscribes to it’s Code of Conduct |
